The short version

These terms are the agreement between you and TBD Holdings LLC for Private Edition. By using the app you accept them. If you do not accept them, do not use the app.

1. What the service is

Private Edition is a professional editor for photographs you already have. Around that it offers two further things: AI photoshoots, which generate new images of you from a concept you direct; and video editing and retouching.

Photo previews and AI contact sheets are free and unlimited for ordinary personal use. You spend a photo credit only to unlock a clean, full-resolution, unwatermarked file. Video processing requires an active paid plan and available video minutes.

2. Your photographs stay yours

You keep every right you already had in the photographs and videos you bring to the app, and in the results you make with it. You give us permission to store, copy, transform and transmit them only so far as is needed to run the features you ask for — decoding, rendering, generating, watermarking a preview, and delivering the result to you.

We do not use your photographs, your face or your prompts to train any model. We do not license them to anyone. We do not use them in marketing.

You must have the right to use what you upload. Do not upload photographs someone else owns unless you are permitted to.

3. The person in the picture must be you

This is the central rule of the AI photoshoot and it is not negotiable.

Those constraints are attached to every single generation request as explicit instructions to the model, along with a prohibition on altering skin tone, facial geometry and body proportions. That is a technical measure, not a guarantee: models are imperfect, and the rule above binds you regardless of what the model does.

If another identifiable person appears in a photograph you bring to the app, you must have their agreement first. This rule binds you whether or not anything in the app checks it. The safety system independently blocks certain requests that involve another identifiable person — it does not ask you to record that person's agreement, and there is nothing you can record that would unblock one. If you cannot get their agreement, do not upload the photograph.

4. Acceptable use

Do not use Private Edition to make, request or upload:

Do not attempt to obtain unwatermarked files you have not unlocked, remove or interfere with the watermark on a preview, automate the service beyond ordinary personal use, or probe, overload or reverse-engineer the service.

How this is enforced

Requests and results are screened at three points: what you bring in, what you ask for, and what comes out. A blocked request produces a plain reason code. Enforcement escalates — a warning, then a feature restriction, then suspension, then termination — based on what happened and whether it has happened before.

You can appeal any decision. Appeals go to a person, are answered against a published target of 72 hours, and an appeal that succeeds reverses what the decision did, not merely the decision itself. A blocked output is never charged for: the credit hold is released automatically.

5. Money

Who takes your payment

Subscriptions and credit packs are sold through the Apple App Store and Google Play. They take the payment, they hold your payment details, and we never see them. Your purchase is also subject to that store's own terms.

Auto-renewal

Subscriptions renew automatically at the end of each period at the price shown, charged to your store account, until you cancel. Cancel at least 24 hours before the period ends to avoid the next charge. Cancel in your Apple or Google account settings — cancellation is done in the store, and the app cannot do it for you.

Refunds

We cannot issue refunds. Only Apple and Google can, because only they took the money. Request a refund through the store you bought from. What our service does when a refund happens is react to it: the store notifies us, and we reverse the entitlement or the purchased credits immediately. A full refund of a credit pack removes those purchased credits from your balance. A partial refund does not reverse credits, because the store does not tell us how much of the purchase it covered.

If a purchase is refunded or revoked, access to paid features stops at once, including for the period already elapsed.

Credits and minutes

Price changes

If we change the price of a subscription, the change applies from the next renewal after we tell you, through the store's own price-change process, which may require your agreement.

6. Your account

You are responsible for what happens under your account. Sign-in is through Apple, Google or a code sent to your email address; keep access to whichever you use. Tell us promptly if you think someone else is using your account.

You must be 18 or older. We do not verify age — see section 11 of the privacy policy, which says so plainly.

One person, one account. Do not share an account, and do not create accounts to evade a suspension or to take a free allowance repeatedly.

7. Ending it

By you

You can delete your account at any time from Settings and privacy. What that removes is set out in section 8 of the privacy policy.

Deleting your account does not cancel your subscription. The app store bills it and only the app store can stop it. Cancel the subscription first, then delete the account.

By us

We may suspend or terminate an account that breaks section 3 or section 4, through the escalation described in section 4, or immediately where the content or conduct is severe. We may also suspend an account we reasonably believe is compromised or is being used fraudulently. Where we suspend or terminate, we tell you the reason code and you can appeal.

If we discontinue the service, we will give notice and a period in which you can export your files.

8. Availability

We do not promise the service will be uninterrupted or error-free, and we do not publish an uptime commitment. Renders depend on infrastructure and, for AI photoshoots, sometimes on a third-party model. Where a failure is ours or a provider's, the credit hold is returned to your balance automatically, as section 5 describes.

Keep your own copies of anything that matters to you. The retention periods in section 7 of the privacy policy are real, and previews expire.

9. AI results

Generated images are synthetic. They are not photographs of an event that happened, and they can be wrong, unflattering or inconsistent. Results are not guaranteed to resemble you, to be reproducible, or to be fit for a particular purpose.

Where an output is substantially generative — pixels invented rather than transformed from your capture — the service records provenance information alongside it identifying it as such. This is a provenance record we generate; the C2PA Content Credentials standard is not enabled in this release, because it requires a signing certificate from an authority on the C2PA trust list that has not been obtained.

10. Limits on our liability

The service is provided as it is. To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.

To the extent the law allows, we are not liable for indirect, incidental, special or consequential loss, loss of profits, loss of goodwill, or loss or corruption of data. Our total liability to you for any claim relating to the service is limited to the greater of the amount you paid us for it in the twelve months before the claim arose, or fifty US dollars.

Nothing here excludes liability that cannot lawfully be excluded — including for death or personal injury caused by negligence, or for fraud — and if you are a consumer, your statutory rights are unaffected.

11. Indemnity

If a claim is brought against us because of content you uploaded or generated, or because you broke section 3 or section 4, you agree to cover our reasonable costs in dealing with it.

12. Changes to these terms

We may change these terms. If a change is material we will tell you in the app before it takes effect, and continuing to use the service after that is acceptance. If you do not accept a change, stop using the service and delete your account.

13. Contact and the rest

Write to support@example-tbd.com, or open a ticket from Contact support in the app.

If any part of these terms is unenforceable, the rest still applies. Our not enforcing something once does not waive it. You may not transfer this agreement; we may transfer it as part of a transfer of the business.

Governing law and the forum for disputes are not stated in this draft. They are a decision for the owner and their counsel, not a detail to be guessed at, and a clause naming the wrong jurisdiction is worse than an honest gap.
